TEAM ALLIANCE SOCCER CLUB, INC. BYLAWS

ARTICLE I: NAME AND INCORPORATION

Section 1. Name The name of this organization is the Team Alliance Soccer Club or, in these Bylaws, “TASC.”

Section 2. Incorporation TASC is a non-profit corporation formed under the laws (55 a) of North Carolina and IRS Rules 501-c-3. The TASC registered office of incorporation and a copy of these bylaws shall be filed with the Forsyth County Resister of Deeds and the North Carolina Secretary of State.

ARTICLE II: PURPOSE

Section 1. The purpose of TASC shall be to:

Promote the physical, emotional, mental, moral and social well being of its members and participants.
Promote youth soccer in Lewisville, Forsyth and neighboring counties, and North Carolina.

Section 2. Players’ safety shall be of primary concern. In addition, TASC will respect the priorities of home, church and school over soccer.

ARTICLE III: AFFILIATIONS

The TASC is a member of North Carolina Youth Soccer Association (NCYSA) and shall abide by the rules of NCYSA, the United States Youth Soccer Association (USYSA), the United States Soccer Federation (USSF), and the Federation of International Football Associations (FIFA).

ARTICLE IV: MEMBERSHIP

Section 1. Eligibility The TASC and its membership shall not discriminate against any individual or team on the basis of race, religion, gender, national origin or political affiliation.

Section 2. Composition The TASC membership consists of: All youth registered as players with TASC. All registered coaches of TASC member teams. All adults whose children are registered players. The TASC Board of Directors.

Section 3. All registered TASC players shall be members of NCYSA.

Section 4. Annual General Membership Meeting. The Annual General Membership Meeting will occur in April of each year for the purpose of: a) presenting a slate of nominees for Board of Directors; b) accepting nominations for the Board of Directors from the floor and; c) conducting any other items of business the Board of Directors places before the membership for action.

ARTICLE V: VOTING COUNCIL

Section 1. Composition. The Voting Council consists of one coach and one other adult member from each of the TASC teams.

Section 2. Purpose. The Voting Council purpose is to elect, In May, the Board of Directors for the upcoming year. Each Voting Council member has one vote. A vote may be taken by written proxy.

ARTICLE VI: BOARD OF DIRECTORS

Section 1. Composition The Board of Directors is the governing body ofTASC and is composed of the following: President, Vice-President, Treasurer, Secretary, one Director-at-large, two Coaches, two parent representatives and the Registrar.

Section 2. Responsibilities The Board members are:

President whose duties include: Presiding at all TASC meetings. Serving as the official TASC spokesperson. Interpreting the TASC Bylaws. Guiding the Board and membership in the development and execution of TASC activities and adherence to TASC and NCYSA goals.
Vice-President whose duties include: Assisting the President in the performance of his/her duties and serving in his/her absence.
Secretary whose duties include: Keeping minutes of TASC meetings. Compiling and maintaining all necessary records of the TASC including these Bylaws. Conducting necessary correspondence. Maintaining TASC contact/address lists.
Treasurer whose duties include: Maintaining accurate records of all TASC financial transactions, including all income and disbursements. Filing necessary tax documents. Signing all checks. Presenting the Treasurer’s Report at each Board meeting.
Director at large whose duties include: Sitting as voting member of the Board. Performing duties assigned by the President.
Coaches whose duties include: Sitting as voting members of the Board. Performing duties assigned by the President. Representing the interests of the teams to the Board.
Parents whose duties include: Sitting as voting members of the Board. Performing duties assigned by the President. Representing the interests of the parents to the Board.
Registrar whose duties include: Monitoring the financial activities of the TASC. Preparing team rosters and distributing them to all coaches, officers and NCYSA. Registering TASC teams and providing NCYSA with team rosters. Sitting on the Board as a non-voting member.
Ex-officio Members whose duties include: Acting as advisors to the Board of Directors.

Section 3. Election of Board Members

Time and method. All members of the Board of Directors, with the exception of the Registrar, shall be elected by plurality vote of the Voting Council in May of each year. [See Article V] The Registrar shall be appointed by the President, with the approval of the Board.
Term. The term of office shall be one year, beginning June 1 and ending May 31.
Term Limitation. No person shall serve in the same position on the Board for more than three consecutive years. No person shall hold more than one office simultaneously.

Section 4. Vacancies. In the event of a vacancy in any of the Board seats, the remaining Board members shall appoint, by majority vote, a new officer to complete the unexpired term of office.

Section 5. Removal of a Board Member. The Board of Directors may, with cause, vote to remove a Board member from office. Causes shall include, but not be limited to: violation of the Bylaws, lack of attendance at meetings, or other behavior unbecoming an officer.

Section 6. Scheduled Meeting of the Board of Directors.

Scheduled meetings of the Board shall occur at least quarterly.
Board meetings are open meetings, but may be closed by majority vote of the Board members present.
A majority of Board members present at a meeting, (In person or through electronic media) shall constitute a quorum.
A majority of Board members shall have one vote each with the exception of the Registrar, who has no vote. The President will have full voting privileges if less than 2/3 of the Board members are present. If at least 2/3 of the Board is present, the President will vote only in order to break a tie.
A simple majority vote shall be sufficient for passage of all actions of the Board.

Section 7. Special and Emergency Meetings of the Board

Special meetings of the Board may be called by the President, or by the Secretary, at the request of at least two other Board members. A ten-day notice is required for Special Meetings.
An emergency meeting may be called by the President, or by the Secretary, at the request of at least two other Board members. Emergency meetings shall be limited to matters concerning serious violations of the Bylaws of TASC or NCYSA. A twenty-four hour notice is required for Emergency Meetings.

ARTICLE VII: COMMITTEES

Section 1. Standing Committees. Standing Committees of TASC include:

Fundraising Committee
Tournament Committee
Nominating Committee
Tryout Committee
Classic Committee
Challenge Committee

Section 2. Committee Members. Members of standing committees shall be appointed by the President, with the approval of the Board.

ARTICLE VIII: COACHES

Section 1. Qualifications. All coaches of TASC teams must be registered with USYSA and carded by NCYSA.

Any Coach in the Challenge Division of TASC must obtain an “E” license from NCYSA or a National Youth Diploma within one year of joining the association.
Any Coach in the Classic Division of TASC must obtain a “D” license or National Diploma by the beginning of their first season.

Section 2. Approval. All new coaches of TASC teams must be approved each year by a simple majority vote of the Board of Directors.

Section 3. Responsibilities.

A licensed or registered coach must be present at all TASC team practices and games.
All coaches or their designees are expected to regularly attend the scheduled Coaches’ Meetings

Section 4. Meetings. Coaches’ Meetings shall be scheduled by the President, at regular intervals throughout the season. Attendance at these meetings is required by each coach or a representative from each team.

ARTICLE IX: TEAMS

Section 1. Number and Method of Formation. The number of teams and the method of formation shall be at the sole discretion of the TASC Board according to the Bylaws of the NCYSA.

Section 2. All players must provide proof of their age and furnish the TASC with documentation of such for record keeping.

Section 3. All players must have USYSA player cards to practice or play with TASC teams.

Section 4. Roster

Maximum. Teams may have a roster of no more than 18 players at any time.
Addition of players. If a team has less than 18 players, it may add additional players to its roster to fill its quota.
Replacement of Players. If a team with a roster of 18 players officially loses a player to moving, illness or injury, or withdrawal for any other reason, a replacement player may be placed on the roster.
Roster Changes. Any changes made to team rosters require the official approval and seal of the TASC Registrar.
No player may practice or play with a TASC team unless he/she is a player currently carded by NCYSA.

Section 5. Uniforms. As amended by the Board, the colors of the uniform must be 90% or more of the following colors: Dark/Forest Green, White, Gold or any combination.

ARTICLE X: GAMES

Section 1. Rules. All TASC games shall be played according to FIFA or modified FIFA rules. Games involving TASC teams shall be under the jurisdiction of TASC, NCYSA and USYSA.

Section 2. Fields. All TASC fields and goals shall be of proper size and specifications, marked according to the NCYSA field chart.

Section 3. Schedules. The TASC, in conjunction with Triad Challenge League (TCL) or NCYSA, shall schedule all of the regular season games for its teams.

Section 4. Equipment. All TASC players shall wear proper equipment, including shin guards, to all games and practices.

Section 5. Conduct. All players, coaches and parents shall exhibit good sportsmanship at all times. The safety of the players shall be pf primary concern at all times.

ARTICLE XI: FINANCIAL/CORPORATE POLICIES

Section 1. Fees. Membership fees shall be determined by the TASC Board of Directors and shall be kept as low as possible to enable a maximum number of youths to participate.

Section 2. Non-profit status. The TASC is a volunteer organization. All funds shall be applied to the benefit of TASC and its membership. No Board member or coach may profit financially through his/her activities on behalf of the TASC.

Section 3. Disbursements. All disbursements of TASC funds shall be made by TASC check signed by the TASC Treasurer. For amounts over $1000, checks must bear the co-signature of at least two Board members.

Section 4. Dissolution. Upon the dissolution of the TASC, all undistributed funds shall be turned over, in full, to the NCYSA general fund.

ARTICLE XII: VIOLATIONS

Section 1. Reports of Violations. All TASC members shall report violations of the TASC bylaws in writing to the Secretary of TASC within five days of becoming aware of such violation. The TASC Board of Directors shall investigate all reported violations of the TASC bylaws and rule on them or refer them to the NCYSA for consideration.

Section 2. Red Cards.

Any red cards issued to TASC members shall result in the offending member being suspended from the next regular season game.
Two red cards issued to the same TASC member within one seasonal year (September 1 – August 31) may be cause for the offending member to be suspended from all TASC activities for the remainder of that seasonal year.

Section 3. Assaults. Any assault committed by a TASC member shall be cause for that member’s suspension from all TASC activities for five years.

ARTICLE XIII: BYLAWS/DOCUMENT POLICY

Section 1. Document Location. Copies of these Bylaws, current teams rosters, schedules, a list of current Board members and coaches and other information pertinent to the organization shall be kept on file in the registered office of incorporation at all times.

Section 2. Fee for Copies. Copies of these Bylaws are available to all TASC members for a $1.00 fee.

Section 3. Bylaws Amendments. These Bylaws may be amended by majority vote of the Board of Directors.
